These Terms govern your engagement with Preda Agency. By working with us, signing a proposal, or making a payment, you confirm that you have read and agreed to these Terms in full.

Section 1

Introduction and acceptance

These Terms and Conditions govern the relationship between Preda Agency (referred to as "we", "us", or "our") and any individual or business entity (referred to as "you" or "the Client") that engages our services.

Preda Agency is a performance marketing and advertising agency registered in Malaysia under Preda Agency Sdn. Bhd. (SSM No. 202601014225), operating since 2026.

By engaging our services, signing a proposal, making a payment, or otherwise entering into a working arrangement with us, you confirm that you have read, understood, and agreed to these Terms and Conditions in full. These Terms are effective as of 26 April 2026.

Section 2

Scope of services

We provide the following services, subject to the scope agreed upon in your proposal or service agreement:

  • Paid advertising: Campaign strategy, setup, management, and optimisation across Meta (Facebook and Instagram) and Google Ads platforms
  • Funnel and landing page development: Design, copywriting, and technical build of lead generation funnels and landing pages
  • Email and WhatsApp marketing: Broadcast campaign setup, list management, automation sequences, and message copywriting
  • CRM setup and management: Configuration, onboarding, pipeline setup, and workflow automation using Closero (a GoHighLevel white-label platform)

The specific deliverables, timelines, and responsibilities for each engagement are outlined in the proposal or service agreement provided to you prior to commencement.

Section 3

Fees, payment, and billing

  • All fees are as stated in your proposal or service agreement. Fees are exclusive of applicable taxes unless stated otherwise.
  • Invoices are due within 14 days of issuance unless a different payment schedule is agreed in writing.
  • Late payments may result in a suspension of services. We reserve the right to charge a late payment fee of 1.5% per month on overdue balances.
  • Retainer fees are non-refundable once the billing cycle has commenced. One-time setup fees are non-refundable upon commencement of work.
  • Any third-party advertising spend (Meta Ads, Google Ads) is managed separately from our service fees and is the sole responsibility of the Client unless otherwise agreed in writing.
  • We reserve the right to revise our fees with a minimum of 30 days' written notice.
Section 4

Client responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate, complete, and timely information, assets, and approvals as reasonably requested
  • Grant us the necessary access to advertising accounts, CRM platforms, website backends, and any other tools required to perform our services
  • Ensure that all content, products, and offers you instruct us to promote comply with applicable laws, platform policies, and advertising guidelines
  • Designate a primary point of contact who is authorised to make decisions and provide approvals on your behalf
  • Notify us promptly of any changes to your business, offerings, or audience that may affect the strategy or execution of our services
Important

Delays caused by late approvals, missing assets, or withheld access are not our responsibility. Timelines will be adjusted accordingly.

Section 5

Advertising spend and platform policies

  • We manage advertising campaigns on your behalf using platforms including Meta (Facebook and Instagram) and Google. All ad spend is billed directly to your payment method by the respective platform.
  • We are not liable for account suspensions, ad rejections, or policy violations imposed by Meta, Google, or any other third-party platform, whether or not such actions result from our campaign execution.
  • We will make reasonable efforts to ensure all creative and targeting complies with platform guidelines, however, platform decisions are final and outside our control.
  • In the event of an account suspension, we will assist in submitting appeals, but we do not guarantee reinstatement.
Section 6

Intellectual property

  • All creative assets, copy, strategies, and materials produced by us during the engagement remain our intellectual property until full payment has been received.
  • Upon receipt of full payment, ownership of Client-specific deliverables (such as ad creatives and landing page copy) transfers to you. Underlying frameworks, methodologies, templates, and systems remain our property.
  • You grant us a non-exclusive licence to use your brand assets, logos, and materials solely for the purpose of delivering our services.
  • You warrant that any materials you provide to us do not infringe the intellectual property rights of any third party.
Section 7

Confidentiality

Both parties agree to keep confidential any non-public information disclosed in the course of the engagement, including but not limited to business strategies, campaign data, pricing, and client lists.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of the engagement for a period of two years.

Section 8

Performance and results

We apply industry best practices and exercise reasonable skill and care in delivering all services. However, marketing outcomes are influenced by factors outside our control, including market conditions, platform algorithm changes, audience behaviour, and product-market fit.

  • We do not guarantee specific results, including but not limited to revenue targets, lead volumes, cost per lead, or return on ad spend (ROAS), unless explicitly committed to in writing as part of a performance-based agreement.
  • Where a performance-based pricing model is in place, the specific terms, metrics, and calculation method will be set out in a separate written agreement.
Performance commitments

Any specific performance guarantees are only valid if documented in your signed proposal or service agreement. Verbal commitments do not constitute a binding guarantee.

Section 9

Limitation of liability

To the fullest extent permitted by applicable law:

  • Our total liability to you for any claim arising from or in connection with our services shall not exceed the total fees paid by you to us in the three months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, or consequential losses, including lost revenue, lost profits, or loss of data, even if we have been advised of the possibility of such losses.
  • We are not liable for any loss or damage arising from third-party platform actions, outages, policy changes, or failures outside our reasonable control.
Section 10

Term and termination

  • These Terms apply for the duration of the engagement as outlined in your proposal or service agreement.
  • Either party may terminate the engagement by providing written notice as specified in the proposal. Unless otherwise stated, a minimum of 30 days' written notice is required.
  • Upon termination, you remain liable for all fees incurred up to and including the notice period. Any outstanding invoices become immediately payable.
  • We reserve the right to terminate immediately and without notice if you breach these Terms, fail to make payment, or engage in conduct that is unlawful, abusive, or harmful to our team or reputation.
  • Upon termination, we will return any assets belonging to you and revoke our access to your accounts within a reasonable timeframe, subject to outstanding payment obligations being met.
Section 11

Dispute resolution

In the event of a dispute arising from these Terms or our services, both parties agree to attempt resolution through good-faith negotiation before pursuing any formal proceedings.

If negotiation fails, disputes shall be referred to mediation in accordance with the laws of Malaysia. These Terms are governed by and construed in accordance with the laws of Malaysia, and both parties submit to the exclusive jurisdiction of the Malaysian courts.

Section 12

Amendments

We may update these Terms and Conditions from time to time to reflect changes in our services, business practices, or legal obligations. The current version will always be available at https://preda.agency/terms-and-conditions.

Continued use of our services after any update constitutes your acceptance of the revised Terms. Where changes materially affect your rights, we will provide reasonable notice before they take effect.
